Our Team:

The Corporate Finance team is responsible for capital structuring and transaction execution across Terra One’s battery storage portfolio. Scope includes project finance (senior debt, mezzanine), HoldCo financing, M&A, and corporate liquidity. We work end-to-end with Development, EPC, Trading/Optimization, and Legal to turn projects into bankable assets, structure scalable financing platforms, and support strategic acquisitions.

We’re expanding our Corporate Finance capacity to support a growing pipeline. We are looking to strengthen our team with a Project Finance Manager (m/f/d) who will lead debt financing processes end to end from term sheet negotiations, coordination of due diligence workstreams to financial close - while building scalable processes for a growing pipeline in Germany and select EU markets. Your Tasks:

  • Lead debt financing processes from lender outreach/mandate and term sheet negotiation to documentation and financial close

  • Build and maintain project finance models with lender and sponsor cases (IRR/NPV, DSCR, LLCR, gearing, covenants)

  • Coordinate due diligence across technical, legal, insurance and other workstreams; manage data rooms, Q&A, and red-flag resolution to CP satisfaction

  • Drive documentation: facilities agreement, intercreditor, security package, direct agreements, and hedging documentation; align commercial terms with EPC/O&M, warranties, LDs

  • Prepare credit and IC materials, manage approvals, and hand over cleanly to Asset Management with covenant and reporting requirements embedded

What we expect from you:

  • You run multiple financing processes in parallel and communicate timelines, risks, and decisions clearly to internal stakeholders and lenders

  • You convert technical and commercial inputs into bankable structures and explain the implications for leverage, covenants, and pricing in a concise, decision-oriented way

  • You challenge assumptions constructively, document your rationale, and maintain audit-ready models, trackers, and data rooms

  • You collaborate effectively with Development, EPC, Trading & Optimization, Legal, and external advisors to resolve red flags and close on schedule

  • You exercise sound judgment on disclosure, representations and warranties, and covenant packages, keeping long-term asset performance and compliance in view

Qualifications:

  • 5–8+ years in project finance for energy or infrastructure (bank, developer/IPP, fund, or advisory) with closed non-recourse transactions in Germany or the EU

  • Proven experience negotiating term sheets and leading diligence through documentation and CPs to financial close; familiarity with intercreditor and security structures.

  • Advanced Excel project-finance modelling skills (sponsor/lender cases, DSCR/LLCR analysis, structured sensitivities)

  • Working knowledge of merchant and fixed revenue stacks and how they translate into lender and hedge requirements

  • Familiarity with hedging/PPA constructs, insurance requirements, direct agreements and model audit practices

  • Professional German (C1/C2) is required and familiarity with German regulation and corporate law is required (financing/documentation practice, security/perfection, notarial aspects as applicable)

  • BESS exposure (augmentation, warranties, performance guarantees) is a strong plus
